Terms and Conditions

 

Lion’s Gate Cybersecurity Solutions

Effective Date: May 30, 2026

1. Acceptance of Terms

These Terms and Conditions (“Agreement”) govern the use of the website, subscription services, cybersecurity services, managed IT services, onboarding systems, and related offerings provided by Lion’s Gate Cybersecurity Solutions (“Lion’s Gate,” “Company,” “we,” “our,” or “us”).

By accessing our website or subscribing to services, you agree to be bound by these Terms and Conditions.

If you do not agree to these terms, do not use our services or website.

2. Services

Lion’s Gate provides services including but not limited to:

  • Endpoint protection 
  • Security monitoring 
  • SOC/EDR services 
  • NOC services 
  • Helpdesk support 
  • Vulnerability assessments 
  • Penetration testing 
  • Managed cybersecurity services 
  • Remote onboarding services 
  • Remote technical support 

Service availability may vary by subscription plan.

3. Subscription Services

Certain services are offered on a recurring subscription basis.

Subscriptions may include:

  • Monthly recurring billing 
  • Device quantity limitations 
  • Service-level limitations 
  • Support limitations 

Current online subscription onboarding is limited to businesses with 1–3 computers.

Businesses requiring support for more than 3 devices may require a separate consultation and service agreement.

4. Customer Responsibilities

Customers agree to:

  • Provide accurate information 
  • Maintain valid payment methods 
  • Provide authorized access to devices where necessary 
  • Maintain administrative access credentials 
  • Use services lawfully 
  • Cooperate during onboarding and support activities 

Customers are responsible for maintaining backups unless otherwise stated in a separate agreement.

5. Payments and Billing

Payments may be processed through third-party payment providers such as:

  • Stripe 

By subscribing, customers authorize recurring billing for selected services.

Failure to maintain valid payment methods may result in:

  • Suspension of services 
  • Cancellation of subscriptions 
  • Termination of monitoring or support 

Fees are non-refundable except where required by law or explicitly stated otherwise.

6. Remote Monitoring and Device Access

Customers authorize Lion’s Gate to:

  • Install monitoring software 
  • Deploy endpoint protection tools 
  • Access systems remotely for support purposes 
  • Collect device health and security information 
  • Perform troubleshooting and remediation activities 

Lion’s Gate will use commercially reasonable efforts to protect customer systems and data during service delivery.

7. Service Availability

Lion’s Gate does not guarantee uninterrupted or error-free services.

Services may be impacted by:

  • Internet outages 
  • Third-party provider failures 
  • Hardware failures 
  • Customer environment limitations 
  • Cybersecurity incidents 
  • Force majeure events 

8. Cybersecurity Disclaimer

Cybersecurity services reduce risk but cannot guarantee complete prevention of:

  • Malware 
  • Ransomware 
  • Unauthorized access 
  • Data breaches 
  • Phishing attacks 
  • Zero-day exploits 
  • Cybersecurity incidents 

No cybersecurity service can guarantee absolute protection.

Customers remain responsible for maintaining appropriate internal security practices.

9. Penetration Testing and Security Assessments

Penetration testing and vulnerability assessments are provided for authorized systems only.

Customers represent that they:

  • Own the systems being tested; or 
  • Have legal authorization to permit testing 

Unauthorized testing requests may be refused.

Testing may identify vulnerabilities but does not guarantee identification of all security weaknesses.

10. Intellectual Property

All website content, branding, documentation, workflows, templates, and materials provided by Lion’s Gate remain the property of Lion’s Gate unless otherwise agreed in writing.

Customers may not:

  • Reproduce materials 
  • Resell services 
  • Reverse engineer proprietary systems 
  • Use branding without permission 

11. Limitation of Liability

To the fullest extent permitted by law, Lion’s Gate shall not be liable for:

  • Indirect damages 
  • Lost profits 
  • Business interruption 
  • Data loss 
  • Cybersecurity incidents 
  • Third-party service failures 
  • Consequential damages 

Total liability shall not exceed the amount paid by the customer to Lion’s Gate during the prior three (3) months of service.

12. Indemnification

Customers agree to indemnify and hold harmless Lion’s Gate from claims arising from:

  • Misuse of services 
  • Unauthorized testing requests 
  • Illegal activities 
  • Violation of laws 
  • Customer negligence 

13. Confidentiality

Lion’s Gate will use commercially reasonable efforts to maintain the confidentiality of customer information and operational data.

Customers agree not to disclose proprietary operational methods, pricing structures, or internal documentation belonging to Lion’s Gate.

14. Termination

Either party may terminate services according to the applicable service agreement or subscription terms.

Lion’s Gate may suspend or terminate services for:

  • Non-payment 
  • Fraudulent activity 
  • Illegal conduct 
  • Abuse of support personnel 
  • Violation of these Terms 

15. Third-Party Services

Services may rely on third-party vendors and platforms, including:

  • Stripe 
  • Endpoint protection vendors 
  • Cloud providers 
  • Remote support providers 

Lion’s Gate is not responsible for failures or outages caused by third-party providers.

16. Privacy

Use of services is also governed by the Lion’s Gate Privacy Policy.

Customers should review the Privacy Policy before using services.

17. Governing Law

These Terms and Conditions shall be governed by the laws of the State of Ohio without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Ohio.

18. Changes to Terms

Lion’s Gate may update these Terms and Conditions periodically.

Updated terms will become effective upon posting to the website.

Continued use of services after updates constitutes acceptance of revised terms.
